When you appoint Scillan Business LLC, doing business as “Scillan,” or a third-party agent arranged by Scillan as your registered agent, the following disclosures apply.

Role of the Registered Agent

A registered agent accepts service of process, legal notices, and official state correspondence on behalf of your entity at a physical address in the state of registration during normal business hours. A registered agent does not manage your business, provide legal advice, or make decisions on your behalf.

Use of Third-Party Agents

In states where Scillan does not maintain its own physical address, registered agent services may be provided through a vetted third-party commercial registered agent. Scillan remains your point of contact for service and support.

Address Use Limitations

The registered agent address may be used only for the receipt of service of process and official state correspondence. It may not be used as your business mailing address, principal office address, or for banking, marketing, licensing, or personal mail unless a separate business address service is purchased.

Document Delivery

Documents received are scanned and uploaded for secure digital delivery, and notification is sent to the email address on file. It is your responsibility to keep your contact information current.

Renewal and Resignation

Registered agent service renews annually. If service lapses or Scillan resigns as agent, you must appoint a replacement agent with the state promptly. Failure to maintain a registered agent may result in penalties or administrative dissolution.
